SubCash Terms of Service

Terms governing your use of the SubCash website, free Pay-App Checker, $99 Cash-at-Risk Audit, and SubCash OS subscription.

These Terms of Service ("Terms") govern your access to and use of the SubCash website at https://subcash.io (or any successor URL), the free Pay-App Checker, the $99 Cash-at-Risk Audit, and the SubCash OS subscription (together, the "Service"), provided by Drew Kraken, operating SubCash from Kentucky, United States ("SubCash," "we," "us," "our").

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

This is a v1 Terms document. It will be updated as our practices and product evolve.

1. The Service

SubCash provides software and services to help commercial specialty subcontractors prepare, audit, and improve their pay-application workflow. The Service includes:

  • The free Pay-App Checker — browser-based scanning of

pay-app text against SubCash's rejection-rule library. No account required. Free.

  • The $99 Cash-at-Risk Audit — fixed-price diagnostic

delivered as a written report within 5 business days of full artifact upload. Refund promise as described in Section 5.

  • The SubCash OS subscription — recurring monthly software

subscription for ongoing pay-app workflow management.

We may change, suspend, or discontinue any part of the Service with reasonable notice.

2. Account and access

To use the SubCash OS subscription, you must create an account. You agree to:

  • Provide accurate, current information.
  • Maintain the security of your account credentials.
  • Notify us promptly if you suspect unauthorized access.
  • Be responsible for activity under your account.

You may not impersonate another person, share account credentials in violation of subscription terms, or attempt to access portions of the Service you are not authorized to access.

3. Payment terms

3.1 $99 Cash-at-Risk Audit

The audit is sold for a one-time fixed price of $99 USD per billing-cycle audit. Payment is processed via Stripe. Payment may be made in advance or upon delivery of the audit, at your option.

3.2 SubCash OS subscription

The OS subscription is $499 USD per month per billing entity, or $4,990 USD per year if paid annually (a discount of 17%). Pricing is subject to change with 30 days' notice to active subscribers.

Subscriptions are billed in advance. Monthly subscriptions automatically renew on the same calendar day each month. Annual subscriptions automatically renew on the anniversary date.

You may cancel at any time by emailing drew@subcash.io. Cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for partial months on month-to-month subscriptions; annual subscriptions are pro-rated upon cancellation.

3.3 Add-ons

Additional pricing applies for accounts with more than 25 active jobs, multiple billing entities, or custom features. Pricing is disclosed at the time of upgrade.

3.4 Taxes

You are responsible for any sales, use, value-added, or similar taxes imposed by any jurisdiction in connection with your purchase, except for taxes on SubCash's net income.

4. Customer artifacts and data

4.1 Your data is yours

You retain all right, title, and interest in customer artifacts you upload (pay-app packets, lien waivers, rejection emails, AR aging exports, subcontract excerpts, and similar documents) and any output we deliver based on them (audit reports, dashboard data, generated documents).

4.2 License to operate the Service

You grant SubCash a limited, non-exclusive license to access, process, store, and analyze customer artifacts solely to operate and improve the Service for you. This license terminates upon cancellation, except for retention as described in our Privacy Policy.

4.3 Anonymized usage

We may use anonymized, aggregated patterns from customer artifacts to improve our public rule library (e.g., aggregate rejection frequencies). We do not use customer-identifying detail for any purpose other than delivering the Service to that customer.

4.4 Data deletion

You may request deletion of customer artifacts at any time by emailing drew@subcash.io. We confirm deletion within 5 business days. See our Privacy Policy for retention timelines.

5. The audit refund promise

For the $99 Cash-at-Risk Audit:

If the audit does not find at least $10,000 of cash at risk or 5+ hours per month of recoverable admin time, you do not pay.

To invoke the refund promise:

  • The audit must have been delivered with the standard SubCash

fixed-format report.

  • You must notify SubCash within 14 days of delivery that you

believe the audit did not meet the threshold.

  • We will review the report; if findings are below the

threshold, we will refund the $99 (if paid) or void the invoice (if not yet paid). The audit content delivered remains yours to keep.

The refund promise applies to the first audit per billing entity. For repeat audits, standard $99 pricing applies without the refund promise.

SubCash provides software and analytical services. SubCash is not a law firm and does not provide legal advice. SubCash's output (audit reports, generated lien waivers, rule findings, dashboard data) is informational only.

For legal questions about lien rights, waiver execution, contract interpretation, mechanics-lien filings, dispute resolution, or any other legal matter, consult a construction attorney licensed in the relevant jurisdiction.

You assume all responsibility for legal decisions made in reliance on SubCash output.

7. SubCash is not accounting advice

SubCash does not provide certified public accounting services, audit attestations, or formal accounting opinions. SubCash's analysis of AR, retainage, and packet workflows is operational, not attestational.

For accounting questions, GAAP compliance, tax treatment, or any other accounting matter, consult a certified public accountant licensed in your jurisdiction.

8. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to any portion of the

Service.

  • Reverse-engineer, decompile, or disassemble the Service.
  • Use the Service to compete with SubCash by building a

substantially similar product.

  • Submit false or misleading information.
  • Use the Service to upload malware, viruses, or other harmful

code.

  • Interfere with or disrupt the Service or other users'

experience of it.

  • Resell or sublicense the Service without our written consent

(except for CPA white-label arrangements expressly authorized by SubCash).

We may suspend or terminate accounts that violate this section.

9. Intellectual property

9.1 SubCash IP

The Service, including the SubCash software, brand, rule library, audit format, and documentation, is owned by SubCash and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9.2 Your IP

You retain all right, title, and interest in customer artifacts and any branding, content, or materials you upload to the Service.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant SubCash a perpetual, royalty-free license to use that feedback to improve the Service.

10. Disclaimers

10.1 "AS IS"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No guarantee of accuracy

While we work to make the Service accurate, SubCash output (audit reports, generated waivers, rule findings) may contain errors, omissions, or out-of-date information. Statutes, regulations, GC subcontract terms, and AIA forms change. You are responsible for verifying the accuracy of SubCash output before relying on it for material decisions.

10.3 No guarantee of payment outcomes

SubCash does not guarantee that using the Service will result in faster payment, fewer rejections, or any specific cash-flow outcome. Payment timing depends on the GC, the owner, and many factors outside SubCash's control.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBCASH'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID SUBCASH IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $500.

SUBCASH IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY.

This limitation does not apply to liability we cannot lawfully limit, including liability for death, personal injury caused by SubCash's negligence, or fraud.

12. Indemnification

You agree to indemnify and hold harmless SubCash and its officers, employees, and agents from any claim arising from (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party right, or (c) customer artifacts you upload to the Service.

13. Term and termination

These Terms remain in effect while you use the Service. We may suspend or terminate access if you violate these Terms or for business reasons with reasonable notice. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) survive.

14. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction of those courts.

You and SubCash waive the right to a jury trial.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent change. Material changes will be communicated to active customers via email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.

16. Miscellaneous

  • Entire agreement. These Terms (together with the [Privacy

Policy](privacy-policy-v1.md) and any subscription order documents) are the entire agreement between you and SubCash regarding the Service.

  • Severability. If any provision is held unenforceable, the

rest of these Terms remain in effect.

  • No waiver. Our failure to enforce any right is not a waiver

of that right.

  • Assignment. You may not assign these Terms without our

consent. We may assign these Terms in connection with a merger, acquisition, or asset sale.

  • Notices. Notices to SubCash should be sent to

drew@subcash.io. Notices to you will be sent to the email address associated with your account.
